Welcome to Valper Home Solutions LLC. These Terms of Service (“Terms”) govern your access to and use of our website, online store, products, design services, fabrication services, delivery services, installation services, and any other services provided by Valper Home Solutions LLC (“Valper,” “we,” “us,” or “our”).

By accessing our website, requesting an estimate, placing an order, purchasing a product, approving a design, or otherwise using our services, you agree to be bound by these Terms, together with any applicable estimate, invoice, proposal, order confirmation, scope of work, warranty, policy, or other written agreement associated with your project.

Please read these Terms carefully before using our website or purchasing our products or services.

If you do not agree with these Terms, you should not use our website or purchase our products or services.


SECTION 1 – ELIGIBILITY AND ONLINE STORE TERMS

By using this website or purchasing from Valper, you represent that you are at least the age of majority in your state or jurisdiction of residence and have the legal capacity to enter into a binding agreement.

You may not use our website, products, or services for any illegal, fraudulent, or unauthorized purpose.

You may not transmit viruses, malicious code, or any technology intended to interfere with the operation, security, or functionality of our website or systems.

A violation of these Terms may result in termination or suspension of access to our services.


SECTION 2 – GENERAL CONDITIONS

We reserve the right to refuse or discontinue service where permitted by law, including in circumstances involving fraud, abuse, nonpayment, unsafe working conditions, unlawful activity, or material violations of these Terms.

You agree not to reproduce, duplicate, copy, sell, resell, exploit, or commercially use any portion of our website, designs, photographs, drawings, specifications, product configurations, or other proprietary content without our prior written authorization.

Headings contained in these Terms are provided for convenience and do not limit or otherwise affect their interpretation.


SECTION 3 – OUR PRODUCTS AND SERVICES

Valper specializes in cabinetry and related solutions, including custom and modular outdoor kitchen cabinetry.

Our cabinet structures are fabricated using aluminum. Depending on the product or project selected, visible components and finishes may include different materials, colors, textures, profiles, panels, doors, drawer fronts, side panels, toe-kicks, and related components.

Products and services may be:

  • standard or modular;

  • made to order;

  • customized;

  • fabricated according to customer-provided dimensions;

  • fabricated around specific appliances or equipment;

  • sold as cabinetry only; or

  • sold as part of a broader project when specifically identified in the applicable estimate, invoice, or agreement.

The exact products, materials, services, accessories, appliances, countertops, delivery, installation, and other items included in a transaction are determined by the applicable written estimate, invoice, order confirmation, or contract.

Anything not expressly identified as included should not be assumed to be included.


SECTION 4 – CUSTOM AND MADE-TO-ORDER PRODUCTS

Many Valper products are fabricated specifically for a customer’s project.

A product may be considered custom or made to order when it is manufactured, cut, modified, finished, configured, or otherwise prepared according to customer-selected dimensions, colors, materials, configurations, appliance specifications, or other project-specific requirements.

Because custom products may not be reasonably resold or reused for another customer, different cancellation, modification, return, and refund conditions may apply once an order has been approved or production has begun.

Applicable cancellation and refund terms will be governed by these Terms and any additional terms stated in the customer’s estimate, invoice, order confirmation, or project agreement.


SECTION 5 – CUSTOMER MEASUREMENTS AND INFORMATION

The customer is responsible for the accuracy of measurements, dimensions, appliance models, appliance specifications, drawings, photographs, plans, site information, and other information supplied to Valper unless Valper has expressly agreed in writing to perform and assume responsibility for field measurements.

If products are fabricated using dimensions or specifications supplied or approved by the customer, contractor, designer, architect, appliance supplier, or another third party, Valper is not responsible for errors resulting from inaccurate, incomplete, outdated, or subsequently changed information supplied by those parties.

Changes to the project site after final measurements or approval may require modifications, additional fabrication, additional labor, additional materials, or additional charges.


SECTION 6 – DESIGNS, DRAWINGS, AND RENDERINGS

Designs, plans, drawings, 3D renderings, photographs, illustrations, and digital representations are intended to assist the customer in visualizing a proposed project.

Unless expressly stated otherwise, renderings are visual representations and are not architectural, engineering, electrical, plumbing, gas, structural, or construction documents.

Final appearance may vary from digital representations due to lighting, screen calibration, material characteristics, manufacturing tolerances, environmental conditions, installation conditions, and other factors.

Dimensions and written specifications contained in an approved project document take precedence over apparent proportions shown in a rendering.

The customer is responsible for reviewing and approving applicable designs, layouts, dimensions, colors, configurations, appliance locations, and other project details before production.

Customer approval authorizes Valper to proceed based on the approved information.


SECTION 7 – COLORS, FINISHES, AND MATERIAL VARIATIONS

Valper makes reasonable efforts to represent colors, textures, materials, and finishes accurately.

However, colors displayed on computers, phones, tablets, printed materials, photographs, videos, and other digital or physical representations may differ from the actual product.

Lighting conditions, surrounding surfaces, screen settings, manufacturing batches, material characteristics, and other factors can affect appearance.

Where exact color or finish selection is important, customers should review an appropriate physical sample when available before final approval.

Reasonable variations inherent to a material or manufacturing process are not necessarily considered defects.


SECTION 8 – APPLIANCES AND THIRD-PARTY PRODUCTS

BBQ grills, refrigerators, ice makers, sinks, side burners, cooktops, and other appliances or equipment are not included in the sale of cabinetry unless specifically identified as included in the applicable estimate, invoice, order confirmation, or contract.

When cabinetry is fabricated to accommodate an appliance, the customer must provide accurate manufacturer information, including the exact model number and applicable installation or cutout specifications when requested.

Valper may rely on specifications supplied by the customer, manufacturer, distributor, contractor, or other third party.

Changes in appliance model or specifications after fabrication has begun may require modifications and additional charges.

Third-party appliances and products may be subject to the manufacturer’s own warranty, installation requirements, limitations, and terms. Unless otherwise required by law or expressly agreed in writing, Valper does not independently extend or replace a third-party manufacturer’s warranty.


SECTION 9 – COUNTERTOPS

Countertops, stone, fabrication, templates, transportation, installation, sinks, backsplash work, waterfall edges, and related countertop services are not included unless expressly stated in the applicable estimate, invoice, or contract.

Natural stone and similar materials may contain variations in color, pattern, veining, texture, fissures, or other naturally occurring characteristics.

When countertop work is performed by an independent third party, that provider may have separate terms, warranties, fabrication requirements, and responsibilities.

Cabinet fabrication and countertop fabrication are separate scopes unless expressly combined in writing.


SECTION 10 – PLUMBING, ELECTRICAL, GAS, AND OTHER TRADES

Unless expressly stated in writing, Valper’s cabinetry or installation services do not include plumbing, electrical, gas, HVAC, structural engineering, permitting, or other licensed trade work.

The customer is responsible for arranging qualified and properly licensed professionals when required by applicable law.

The project site must have utilities, connections, clearances, supports, and other required conditions properly prepared before installation when those items are outside Valper’s scope.

Valper is not responsible for delays or additional work resulting from incomplete or unsuitable site preparation performed by others.


SECTION 11 – ESTIMATES AND QUOTES

Estimates and quotations are based on the information available when they are prepared.

Pricing may change if dimensions, quantities, materials, finishes, appliances, site conditions, delivery requirements, installation requirements, or the scope of work changes.

An estimate does not necessarily reserve production capacity, materials, pricing, or an installation date unless expressly stated in writing.

Any expiration date or validity period stated on an estimate or proposal controls that particular estimate.


SECTION 12 – PRICING

Prices are subject to change without notice before an order is accepted.

Once an order has been accepted, pricing is governed by the applicable estimate, invoice, order confirmation, contract, and approved scope of work, subject to approved changes, additional work, unforeseen site conditions, or other circumstances identified in those documents.

Taxes, shipping, delivery, installation, appliances, countertops, permits, third-party services, and other charges are included only when specifically identified.

Errors in pricing, product descriptions, calculations, or website information may be corrected where permitted by law.


SECTION 13 – PAYMENTS

Payment schedules and deposit requirements are established in the applicable estimate, invoice, order confirmation, or contract.

The customer agrees to make payments according to the agreed schedule.

Valper may pause design, procurement, fabrication, delivery, or installation if required payments are not received when due, subject to applicable law and the specific project agreement.

A delay caused by late payment may affect production and installation scheduling.

Additional work, modifications, or products requested after the original agreement may require additional payment.


SECTION 14 – ORDER APPROVAL AND PRODUCTION

Before production, Valper may require approval of relevant project information, including dimensions, layouts, colors, finishes, cabinet configurations, appliance models, and other specifications.

Once final approval has been provided and production has begun, changes may not be possible without additional cost or production delays.

Valper reserves the right to determine whether a requested modification can reasonably be incorporated after production begins.


SECTION 15 – CHANGES AND CHANGE ORDERS

Changes requested after approval may require a written change order or revised invoice.

Additional costs may include, without limitation:

  • additional materials;

  • additional fabrication;

  • replacement components;

  • redesign;

  • labor;

  • transportation;

  • storage;

  • additional site visits; and

  • rescheduling.

Changes may also extend estimated completion or installation dates.

No verbal request should be considered an amendment to the agreed scope unless accepted by Valper.


SECTION 16 – CANCELLATIONS, RETURNS, AND REFUNDS

Cancellation, return, and refund eligibility depends on the type of product or service purchased and the stage of the order.

Standard, unused products may be subject to separate return conditions when applicable.

Custom, personalized, modified, cut-to-size, made-to-order, or project-specific products may not be returnable or refundable once fabrication, customization, procurement, or other project-specific work has begun, except where otherwise required by law or expressly agreed in writing.

Deposits or payments may be applied toward design work, administrative work, materials, procurement, fabrication, labor, or other costs already incurred.

Any project-specific cancellation or refund terms contained in an accepted estimate, invoice, contract, or order confirmation will apply to that transaction.


SECTION 17 – DELIVERY AND SHIPPING

Delivery and shipping availability depend on the product, destination, project size, access conditions, and services purchased.

Estimated delivery dates are estimates rather than guarantees unless Valper expressly agrees otherwise in writing.

The customer is responsible for providing accurate delivery information and reasonable access to the delivery location.

Shipping or delivery delays caused by carriers, weather, natural disasters, supply interruptions, governmental actions, accidents, road conditions, labor disruptions, or other circumstances outside Valper’s reasonable control do not automatically constitute a breach of these Terms.

Specific freight, shipping, inspection, damage-reporting, and delivery conditions may be provided separately for shipped orders.


SECTION 18 – INSTALLATION

Installation is included only when expressly stated in the applicable estimate, invoice, order confirmation, or contract.

Before installation, the customer is responsible for ensuring that the project area is reasonably accessible, safe, and ready for the agreed work.

Existing structures, floors, walls, utilities, landscaping, access limitations, hidden conditions, inaccurate plans, work performed by other contractors, or other site conditions may affect installation.

Additional work caused by conditions outside the agreed scope may result in additional charges and scheduling changes.

Installation does not include services from other trades unless specifically identified in writing.


SECTION 19 – PROJECT SCHEDULING AND DELAYS

Production, delivery, and installation timeframes are estimates unless a specific guaranteed date is expressly stated in writing.

Schedules may be affected by material availability, supplier delays, customer changes, payment delays, weather, transportation, permitting, job-site readiness, third-party contractors, appliance availability, countertop scheduling, force majeure events, or other circumstances beyond Valper’s reasonable control.

Valper will make reasonable efforts to communicate material scheduling changes affecting a project.


SECTION 20 – INSPECTION AND PROJECT COMPLETION

Customers should inspect products and completed work within a reasonable period after delivery or installation and promptly report any apparent damage, missing components, or workmanship concerns.

Minor adjustments or punch-list items do not necessarily prevent a project from being considered substantially complete where the primary contracted work has been completed and the product can be used for its intended purpose.

Valper must be given a reasonable opportunity to inspect and, where appropriate, correct a claimed issue before the customer authorizes third-party repairs for which reimbursement is sought, except in an emergency or where otherwise required by law.


SECTION 21 – WARRANTY

Warranty coverage depends on the products and materials purchased.

Valper provides a 10-year warranty on aluminum and StarBoard, subject to the applicable written warranty terms, exclusions, proper use, installation conditions, maintenance requirements, and limitations.

Appliances, accessories, hardware, countertops, and products manufactured by third parties may carry separate manufacturer warranties.

A separate Valper Warranty Policy may contain additional information regarding coverage, exclusions, claim procedures, and available remedies and is incorporated into these Terms when applicable.

Nothing in these Terms limits any warranty rights that cannot legally be excluded or limited.


SECTION 22 – WEBSITE PRODUCT INFORMATION

We make reasonable efforts to ensure that product descriptions, dimensions, images, specifications, availability, and pricing displayed on our website are accurate.

However, typographical errors, technical errors, outdated information, or omissions may occur.

We reserve the right, where permitted by law, to correct errors, update information, modify product specifications, or cancel an affected transaction when material information was incorrect.

Website photographs and renderings are illustrative and may include appliances, countertops, accessories, landscaping, decorations, or other items that are not included with the product being sold.

Customers should review the applicable product description and order documentation to determine exactly what is included.


SECTION 23 – MODIFICATIONS TO PRODUCTS AND SERVICES

We may modify, improve, discontinue, or replace website features, product configurations, materials, finishes, or services from time to time.

Such changes do not alter an already accepted customer order unless permitted by the applicable agreement or agreed with the customer.


SECTION 24 – INTELLECTUAL PROPERTY

Unless otherwise stated, the website and its content, including designs, text, photographs, videos, graphics, product configurations, drawings, renderings, logos, trademarks, trade dress, and other materials, are owned by or licensed to Valper and are protected by applicable intellectual property laws.

No content may be reproduced, distributed, modified, commercially exploited, or used to manufacture competing products without appropriate authorization.

Providing a design or rendering to a customer does not automatically transfer intellectual property ownership or grant unrestricted reproduction rights.


SECTION 25 – CUSTOMER CONTENT

If you provide photographs, reviews, testimonials, comments, suggestions, or other content to Valper, you represent that you have the right to provide that content.

Valper will not claim ownership of a customer’s private project materials solely because they are submitted for estimating or design purposes.

Any use of customer project photographs, testimonials, or other content for promotional purposes will remain subject to applicable law and any permissions or agreements required under the circumstances.


SECTION 26 – THIRD-PARTY LINKS AND SERVICES

Our website may contain links to websites, payment providers, manufacturers, social media platforms, financing providers, shipping providers, or other third-party services.

Valper does not control third-party websites and is not responsible for their content, security, availability, privacy practices, or terms.

Use of third-party services may be governed by separate agreements between the customer and the applicable provider.


SECTION 27 – PROHIBITED USES

You may not use the website or its content:

  • for unlawful purposes;

  • to solicit unlawful activity;

  • to violate intellectual property rights;

  • to submit false or misleading information;

  • to transmit malicious software;

  • to collect or track personal information unlawfully;

  • to interfere with website security;

  • to impersonate another person or entity; or

  • to engage in fraudulent or abusive activity.

We reserve the right to terminate access for violations of this section.


SECTION 28 – DISCLAIMER OF WARRANTIES

Except for warranties expressly provided by Valper in writing and warranties or rights that cannot legally be excluded, the website and general website content are provided on an “as available” basis.

Valper does not warrant that the website will always be uninterrupted, error-free, or free from every harmful component.

Product warranties are governed by the applicable written warranty terms and applicable law.

Nothing in this section is intended to disclaim warranties or consumer rights that cannot legally be disclaimed.


SECTION 29 – LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Valper Home Solutions LLC and its owners, officers, employees, agents, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of the website or products and services, except where such limitation is prohibited by law.

For claims arising from a specific transaction, any limitation of liability will be interpreted in accordance with applicable law and the written agreements governing that transaction.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.


SECTION 30 – INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Valper Home Solutions LLC and its owners, officers, employees, agents, contractors, and affiliates from third-party claims, damages, liabilities, and reasonable expenses arising from your unlawful use of the website, violation of these Terms, violation of another party’s rights, or materially inaccurate information supplied by you for a project.

This provision does not require a customer to indemnify Valper for liability that applicable law does not permit Valper to transfer.


SECTION 31 – FORCE MAJEURE

Valper will not be responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including severe weather, hurricanes, flooding, fire, natural disasters, transportation disruptions, supply-chain interruptions, material shortages, labor disruptions, governmental actions, emergencies, utility failures, or similar events.

When reasonably possible, affected obligations will resume after the circumstances causing the delay have been resolved.


SECTION 32 – RELATIONSHIP WITH PROJECT-SPECIFIC DOCUMENTS

These Terms provide general conditions applicable to the use of our website and our products and services.

Individual transactions may also be governed by an estimate, proposal, invoice, order confirmation, design approval, scope of work, change order, warranty, installation agreement, or other written document.

If a project-specific written agreement expressly conflicts with these general Terms, the project-specific agreement will control with respect to that specific project and conflict, unless otherwise stated in that agreement or prohibited by law.


SECTION 33 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in effect.


SECTION 34 – WAIVER

Failure by Valper to enforce any provision of these Terms on one occasion does not constitute a waiver of that provision or the right to enforce it in the future.


SECTION 35 – TERMINATION

These Terms remain effective unless terminated by you or Valper.

You may stop using our website at any time.

Valper may suspend or terminate access to the website or services for violations of these Terms, subject to existing contractual obligations and applicable law.

Obligations that by their nature should survive termination, including payment obligations, intellectual property provisions, limitations of liability, and other applicable provisions, will survive.


SECTION 36 – ENTIRE AGREEMENT

These Terms, together with applicable policies and project-specific written agreements, constitute the agreement between you and Valper concerning the matters they govern.

They supersede prior website terms concerning the same subject matter but do not automatically replace separately executed project agreements unless expressly stated.


SECTION 37 – GOVERNING LAW

These Terms and transactions with Valper Home Solutions LLC will be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable federal law or another mandatory law provides otherwise.

Any dispute will be subject to the jurisdiction and venue provided by applicable law and any valid project-specific agreement between the parties.


SECTION 38 – CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our products, services, business practices, website, or applicable requirements.

The current version will be published on this page with an updated revision date.

Changes will apply prospectively unless applicable law or an agreement provides otherwise.

Your continued use of the website after updated Terms become effective constitutes acceptance of the updated website Terms to the extent permitted by law.

Terms applicable to an existing accepted project will remain subject to the documents governing that project.


SECTION 39 – PRIVACY

Personal information submitted through our website is handled in accordance with our Privacy Policy.

Our Privacy Policy should be reviewed together with these Terms.
